Kept Terms of Use
Effective date: [date]
These Terms of Use are an agreement between you and Spintech LLC ("Kept", "we", "us"), the maker of the Kept app for iPhone and Android and the Kept website. By creating an account or using Kept, you agree to them and to our Privacy Policy. If you don't agree, don't use Kept.
1. Who can use Kept
You must be at least 18 years old and live in the United States. Kept is available only in the United States, in English, and for amounts in US dollars.
2. Your account
- You sign in with a code sent to your email address, or with Apple or Google. Keep your email account and devices secure: anyone who can read your email or unlock your phone may be able to get into your Kept account. You can add an app lock in Settings.
- One account is for one person. Don't share it or use someone else's.
- You're responsible for what happens in your account. Tell us at [email protected] if you think someone else has used it.
3. What Kept does
Kept stores your receipts and organizes them for your records and taxes. You can:
- scan, import, or share receipts into the app;
- forward email receipts to your own Kept address from email addresses you've verified;
- have Kept read your receipts automatically, if you allow it;
- search and categorize your receipts;
- export them.
Kept organizes records and is not tax, legal, or accounting advice. Categories follow IRS Schedule C to help you stay organized, but whether an expense is deductible, and how to report it, is up to you and your tax professional. Kept doesn't file anything for you.
4. Automatic reading of receipts
If you allow it, Kept sends your receipt images, PDFs, and forwarded emails to Anthropic, our AI provider, to read the merchant, date, amounts, and category. It also sends descriptions you type into search, so they can be turned into filters. Our Privacy Policy explains what's sent and how Anthropic handles it. You can turn this off at any time in Settings, Data and privacy, AI reading; Kept then works with details you enter yourself.
Automatic reading makes mistakes. Check the details Kept reads before you rely on them, especially amounts and dates. You're responsible for the accuracy of your records and of anything you file.
5. Your content
- You own your receipts, images, files, notes, and everything else you put in Kept ("your content").
- You give us permission to store, copy, process, and display your content only to provide Kept to you. That includes:
- sending it to the service providers in our Privacy Policy;
- making the exports you ask for.
This permission ends when you delete your content or your account, except for copies in backups, which expire as our Privacy Policy describes.
- You're responsible for having the right to put your content in Kept. Forward only emails you're entitled to keep.
- We don't sell your content, use it for advertising, or use it to train AI models.
6. Plans and payment
- Free plan. Kept reads up to 15 receipts a month for free. Receipts past that are kept, and wait to be read until the next month or until you upgrade. You can always enter their details yourself. Search, categories, and the email inbox are included.
- Kept Pro. A subscription that adds unlimited automatic reading and the tax export pack. Plans and prices are shown in the app before you buy.
- Billing through the store. You buy Kept Pro through Apple's App Store or Google Play. The store charges you, and its terms apply to the payment. Subscriptions renew automatically at the end of each period unless you cancel at least 24 hours before it ends. You can cancel at any time in your store account's subscription settings. You keep Kept Pro until the end of the period you've paid for.
- Free trials. If a plan includes a free trial, you're charged when the trial ends unless you cancel before then. Trials are offered once per person, as the store allows.
- Refunds. Refunds are handled by Apple or Google under their policies. We can't issue store refunds ourselves.
- Price changes. We may change prices. The store tells you before a change applies to your subscription, and you can cancel before it does.
- Deleting your account doesn't cancel your subscription. Cancel it in your store account too. Kept shows you where.
- When Pro ends. You keep everything you've stored. Only the features that need Pro stop.
7. Acceptable use
Don't:
- break the law, or use Kept to store content you have no right to;
- try to get into accounts, data, or systems that aren't yours, or test Kept's security without our written permission;
- overload, disrupt, or scrape Kept, or get around its limits;
- copy, reverse engineer, or resell Kept, except as the law allows;
- send content meant to manipulate Kept's automatic reading, or anything harmful (malware, abuse).
We may limit, suspend, or close an account that breaks these terms or puts Kept or other people at risk. Where we reasonably can, we'll tell you first, and give you a chance to export your receipts.
8. Your data and leaving Kept
- You can export all your receipts and files at any time in Settings, Export all my data, on any plan.
- You can delete your account in Settings, Data and privacy, Delete account, or at https://spintechhq.com/kept/delete-account. Deleting your account deletes your receipts and files, as our Privacy Policy describes, and can't be undone.
- Your receipts stay in Kept until you delete them or your account; we never delete a receipt because of its age.
- If Kept ever shuts down, we'll tell you at least [90] days before, and Export all my data keeps working for that time, so you can take everything with you.
9. Changes to Kept and to these terms
- Kept will change over time. We may add, change, or remove features.
- We may update these terms. If a change matters, we'll tell you in the app or by email before it takes effect. Continuing to use Kept afterwards means you accept the new terms. If you don't accept them, stop using Kept and delete your account.
10. Availability
We work to keep Kept running and your data safe, but we can't promise Kept will always be available or free of errors. Kept saves receipts on your phone first and syncs them when it can. Keep the original receipts and records the law requires you to keep.
11. Disclaimers
To the extent the law allows, Kept is provided "as is" and "as available", without warranties of any kind, express or implied. That includes warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Nothing in Kept is tax, legal, or financial advice.
12. Limitation of liability
To the extent the law allows:
- We are not liable for indirect, incidental, special, consequential, or punitive damages. That includes lost profits, tax penalties, or lost data, arising from your use of Kept.
- Our total liability for any claim about Kept is limited to the greater of the amount you paid us for Kept in the 12 months before the claim, or $50.
Some states don't allow some of these limits, so they may not all apply to you.
13. Indemnity
If you use Kept in breach of these terms or the law, you agree to cover our reasonable losses from claims by others that result from it.
14. Governing law and disputes
These terms are governed by the laws of the State of [state], without regard to its conflict of laws rules. Any dispute is resolved in the state or federal courts in [county, state], unless the law where you live gives you the right to bring it elsewhere. Before filing a claim, contact us at [email protected] so we can try to resolve it.
15. Apple and Google
If you got Kept from Apple's App Store:
- These terms are between you and us, not Apple. Apple isn't responsible for Kept or its content.
- Your license to use Kept is limited to Apple-branded devices you own or control, as the App Store's Usage Rules allow.
- Apple has no obligation to provide maintenance or support for Kept.
- If Kept fails to meet a warranty that applies, you may notify Apple, and Apple will refund the purchase price, if any. Apple has no other warranty obligation.
- We, not Apple, are responsible for any claims about Kept: product liability, failure to meet legal or regulatory requirements, consumer protection, and claims that Kept infringes someone's intellectual property.
- You confirm that you aren't in a country under a US government embargo, and aren't on a US government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them.
If you got Kept from Google Play, Google Play's terms also apply to your download and purchases.
